Service offered
We provide web design, web application development, site promotion and other related services to
client organisations and individuals. Services provided to a client may collectively form a project
delivered in one or more stages.
Client web sites are published to a web server owned and operated by our preferred, UK-based, hosting
partner. We undertake the arrangement of the hosting service and necessary configuration.
Use of services
We do not undertake the building of web sites containing 'adult' material, those promoting or inciting
illegal activity, or those which may be considered defamatory or offensive.
The web and email facilities associated with hosting arrangements must not be used for distributing
destructive or nuisance-causing materials including but not limited to viruses, unsolicited bulk
emails/spam, or chain messages. The facilities must not be used to distribute materials promoting or
inciting illegal activity or which may be considered defamatory or offensive. The responsibility to
ensure the suitability of all materials used and distributed rests with the client.
Payment terms
For web site packages, a payment of 50% of the total fee is required when ordering services, with the
balance payment required at completion. Where site maintenance or re-registration is required, payment of fees is required before the maintenance work or re-registration is carried
out. A reminder will be sent for yearly maintenance charges and
re-registration fees.
All other services require pre-payment in full unless agreed otherwise in writing prior to commencement
of work.
We reserve the right to deactivate a client web site where relevant payment has not been received and
to charge interest on late payments.
Delivery and approval
At one or more stages within a web site project, materials we create for a client are published to a password
protected area on the World-Wide-Web or sent on disk for the client's approval. Once all stages are
approved, the materials are then published to the client's web site and the project is complete.
We will use our best endeavours to meet completion dates agreed, although any such dates are estimates
only. We will not be held liable for any loss or damage as a result of a failure to meet these dates.
Cancellation
Clients may give us written notice to cancel an agreement in which case the client is liable to pay
our fees and costs for all completed stages and any committed work or arrangements. Such fees and costs
are payable immediately. Fees are not refundable for completed stages or committed work or arrangements.
We reserve the right to cancel an agreement without notice.
Limitation of liability
We will not be held liable for any loss or damage caused by use, misuse, lack of availability,
interruption or removal of services or any error or omission. As part of some services, we make marketing
information and guidance notes available to clients. We will not be held liable for any loss or damage
experienced by clients in the application or use of the information made available.
As part of our site promotion services, we submit the addresses of client sites to Internet search
engines and offer optimisation of client site pages to achieve better search engine rankings. As we can
not in any manner control or influence the workings and policies of third party organisations operating
those search engines, combined with the general dynamic and evolving nature of the Internet, it is not
possible to guarantee search engine acceptance or rankings.
Clients should satisfy themselves that their site does not contravene UK or other relevant laws.
Clients are held liable for any claims, suits, damages or any other disputes or actions which arise in
connection with their web site. Clients must ensure the accuracy, truthfulness, appropriateness and
decency of the content of their web site.
Intellectual property rights
Clients must make sure that any materials supplied for inclusion within their web site do not infringe
the copyright, tradename, trademark, ownership or any other rights of others. A client should be the legal
owner of such materials or have prepared adequate evidence of suitable permissions being obtained.
Clients retain ownership of materials they have supplied for inclusion in their site. business-ip ltd
retains ownership of computer source code, designs and any derived materials created for a client and
makes these available to the client for use within the created web site.
Confidentiality
We will not disclose to third parties any confidential data, information or trade secret made known to
us by a client, other than with their consent. Other than in the normal agreed provision of our services,
involving the publication of web sites and search engine submission and site promotion, we will not supply a client's
organisational or personal contact details to third parties for marketing purposes without consent of the
client.
Any username or password issued to a client is considered confidential information and must not be
divulged to any another person. Reasonable precautions should be taken by the client to protect this
information from discovery.
We reserve the right to amend these terms and conditions without notice.
